What Is a Business Valuation?

A business valuation is a comprehensive analysis that determines the economic value of a company or business interest. Whether you’re planning a transaction, resolving disputes, managing your estate, or making strategic decisions, knowing your business’s true market value is essential. At Corporate Valuations, Inc., we apply rigorous analytical methods to provide valuations that withstand scrutiny from the IRS, courts, and business partners.

Our valuations are grounded in established standards and best practices. We serve business owners, investors, corporate management, attorneys, and financial advisors throughout the nation with consistent professionalism and technical expertise. With over 40 years of combined experience, our team has guided thousands of clients through complex valuation challenges across virtually every industry.

Why Valuation Matters

A business valuation is not a guess—it’s a disciplined financial analysis. The value you place on your business has real consequences: incorrect valuations can trigger IRS penalties, create disputes with partners or family members, undervalue transactions, or complicate succession planning. Our clients rely on our valuations to make confident decisions in situations where accuracy directly impacts their financial outcomes.

When You Need a Valuation

Business valuations serve many important purposes. Common situations where clients turn to us include:

Estate & Gift Tax Planning

For IRS compliance and estate tax purposes, fair market value determinations are required. We help families optimize estate plans and navigate valuation discounts for tax efficiency.

Mergers & Acquisitions

Buy-side and sell-side valuations ensure fair transaction pricing and support strategic business decisions in acquisitions, mergers, and divestitures.

Shareholder Disputes & Buy-Sell Agreements

We provide independent valuations to resolve disputes between co-owners and determine fair value under buy-sell agreements triggered by death, disability, or retirement.

Employee Stock Ownership Plans (ESOPs)

Annual ESOP valuations are required by Department of Labor regulations to ensure fair pricing for employee participants and trustee fiduciary compliance.

Financial Reporting & Fair Value Accounting

GAAP and IFRS compliance often require independent valuations for intangible assets, goodwill, and business acquisitions reported on balance sheets.

Litigation Support & Damages Calculations

Our expert valuations support complex litigation matters, including breach of contract damages, partnership dissolution, and intellectual property disputes.

Our Valuation Approach

Professional business valuations employ three primary methodological approaches. The appropriate method—or combination of methods—depends on your business, industry, available data, and the valuation purpose. Our senior analysts select and apply the most defensible approach for each engagement.

Income Approach

The income approach values a business based on its ability to generate future earnings and cash flows. We analyze historical financial performance, project realistic future cash flows, and apply an appropriate discount rate to calculate present value. This method is particularly relevant for profitable operating businesses and is often the primary valuation method for transaction valuations. We consider normalized earnings, growth trends, and risk factors specific to your industry.

Market Approach

The market approach values a business by comparing it to similar companies or transactions in the marketplace. We analyze publicly traded comparables and recent private transactions involving similar businesses. This method reflects what willing buyers actually pay for comparable assets in the current market. We adjust for differences in size, profitability, growth, and risk to derive a defensible valuation multiple for your business.

Asset-Based Approach

The asset-based approach sums the fair market value of individual assets minus liabilities. We value both tangible assets (equipment, inventory, real estate) and intangible assets (customer relationships, brand, patents, proprietary processes). This method is most applicable for asset-intensive businesses, holding companies, and in situations where income-based valuations are not reliable. We use replacement cost, appraisal, and income capitalization methods to value intangible assets.

Standards & Credentials

We perform all valuations in accordance with the Uniform Standards of Professional Appraisal Practice (USPAP) and the American Society of Appraisers (ASA) Valuation Standards. These rigorous professional standards ensure consistency, independence, and quality across all our work. Our firm is committed to ethical practice and professional development, which gives our clients confidence that our valuations will be accepted by the IRS, courts, and other authorities.

Our President, Blake Runckel, holds the Accredited Senior Appraiser (ASA) credential and a Chartered Financial Analyst (CFA) designation. These credentials reflect advanced technical training, professional ethics, and ongoing education in business valuation and financial analysis. Our team combines decades of hands-on experience with the highest standards of professional practice.

Analysis & Valuation

Our analysts conduct detailed financial analysis, develop valuation models, research comparable companies and transactions, and apply our selected valuation methods. We prepare comprehensive analyses supporting our conclusions.
